Terms of Service

1. Definitions
"Orklio", "we", "us" or "the Service" refers to the commerce orchestration platform operated by GeckoAI.app, LLC. "You" or "Customer" refers to the individual or entity using the Service. "Content" means any data, catalogs, products or materials you submit to the Service.
2. Acceptance of Terms
By accessing or using Orklio, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
3. Account Registration
You must provide accurate, current and complete information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account.
4. Subscription Plans & Billing
Paid plans are billed in advance on a monthly or annual basis. Payments are processed by our Merchant of Record on our behalf, which may handle invoicing, taxes and currency conversion. Fees are non-refundable except as expressly stated or required by law.
5. Free Trial
We may offer a free trial. Unless you cancel before the trial ends, your subscription may convert to a paid plan at the then-current rates. We will make trial terms clear at sign-up.
6. User Obligations (Acceptable Use)
You agree not to misuse the Service, including by violating any law, infringing intellectual property, transmitting malware, attempting unauthorized access, or using the Service to send spam or unlawful content. We may suspend accounts that violate these obligations.
7. Intellectual Property
The Service, including its software, design and trademarks, is owned by GeckoAI.app, LLC and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.
8. Customer Data Ownership
You retain all ownership of your Content. You grant us a limited license to host, process and transmit your Content solely to provide and improve the Service. We do not sell your Content.
9. Third-Party Integrations
Orklio connects to third-party platforms such as Shopify, Etsy, Amazon, TikTok Shop, BigCommerce and WooCommerce. Your use of those platforms is governed by their own terms. We are not responsible for third-party services or changes to their APIs.
10. API Usage & Rate Limits
Access to our API is subject to rate limits and fair-use policies described in our documentation. We may throttle or suspend access that threatens the stability or security of the Service.
11. Confidentiality
Each party agrees to protect the other's confidential information and to use it only as necessary to perform under these Terms, except where disclosure is required by law.
12. Warranties & Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by law, GeckoAI.app, LLC will not be liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability will not exceed the fees you paid in the twelve months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless GeckoAI.app, LLC from claims arising out of your Content, your use of the Service or your violation of these Terms or applicable law.
15. Termination
You may cancel at any time from your dashboard. We may suspend or terminate access for material breach. Upon termination, your right to use the Service ends; certain provisions survive as their nature requires.
16. Modifications to Service
We may modify, add or discontinue features of the Service. We will give reasonable notice of material adverse changes where practicable.
17. Modifications to Terms
We may update these Terms from time to time. Material changes will be notified by email or in-product. Continued use after changes take effect constitutes acceptance.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in Delaware, unless otherwise required by mandatory local law.
19. Miscellaneous
If any provision is held unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and GeckoAI.app, LLC regarding the Service and supersede prior agreements. Our failure to enforce a right is not a waiver.
